Terms of Service

These Terms of Service (“Terms”) govern your access to and use of MorningSignal (the “Service”) provided by GoodAction (“we”, “us”). By creating an account, clicking to accept, or using the Service, you agree to these Terms.

Eligibility

You must be able to form a binding contract in your jurisdiction and not barred from using the Service under law.

Accounts

You are responsible for safeguarding your credentials and for activity under your account. Notify us at info@goodaction.com if you suspect unauthorized access.

Subscriptions and billing

Paid plans, if offered, are billed through Stripe. Fees, renewal, taxes, and cancellation follow the checkout flow and Stripe’s receipts. We may change pricing with reasonable notice where required by law.

Acceptable use

You agree not to:

  • Violate law or others’ rights;
  • Attempt to probe, scan, or test the vulnerability of the Service without authorization;
  • Interfere with or disrupt the Service or other users;
  • Use the Service to distribute malware, spam, or deceptive content;
  • Reverse engineer the Service except to the extent permitted by applicable law.

Third-party services

The Service may integrate with Google, GitHub, LinkedIn, Instagram, OpenAI, Stripe, and other providers. Your use of those services is also subject to their terms and privacy policies.

AI-generated output

AI features produce probabilistic output that may be inaccurate or incomplete. You are responsible for reviewing and editing content before publication or reliance. We do not warrant that AI output is fit for any particular purpose.

Intellectual property

We retain all rights in the Service, branding, and software. You retain rights in content you submit. You grant us a license to host, process, and display your content solely to operate and improve the Service for you.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY FOR CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US$100), IF YOU HAVE NOT PAID US.

Indemnity

You will defend and indemnify us and our affiliates, officers, and employees against any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your content, your use of the Service, or your violation of these Terms.

Suspension and termination

We may suspend or terminate access for conduct that violates these Terms or risks harm to the Service or other users. You may stop using the Service at any time. Provisions that by their nature should survive will survive termination.

Governing law

These Terms are governed by the laws of the State of Delaware, United States, excluding conflict-of-law rules, unless a different jurisdiction is required by mandatory local law. Courts in that jurisdiction have exclusive venue, subject to applicable consumer protections.

Replace the governing law clause with counsel-approved language if your operating entity or users are primarily elsewhere.

Changes

We may modify these Terms by posting an updated version and changing the “Last updated” date. If changes are material, we will provide additional notice where required by law. Continued use after the effective date constitutes acceptance.
